SEC Crypto Asset FAQs: Guidance on Staking and Buybacks

The SEC’s Division of Corporation Finance published nonbinding answers on staking tokens, marketing, buybacks and secondary trading platforms.

SEC Crypto Asset FAQs provide staff guidance from the Division of Corporation Finance of the U.S. Securities and Exchange Commission (SEC). The document was issued on September 25, 2026, and the answers page was updated on September 28. It addresses how federal securities laws may apply to certain crypto assets and transactions involving them.

The FAQs are not a new rule or a position of the Commission itself. They have no legal force and do not create new obligations. The assessment of a specific token or transaction therefore still depends on the particular circumstances.

SEC Crypto Asset FAQs and the Difference Between an Asset and a Transaction

The guidance follows the SEC’s interpretive statement of March 17, 2026, which addressed the relationship between crypto assets and investment contracts. In the new answers, division staff distinguish between the digital asset itself and the way it is offered, sold or promoted.

This distinction is important when analyzing whether federal securities laws may apply in a specific case. The FAQs themselves do not determine the legal status of a particular token. They do, however, describe circumstances that may be relevant to this analysis.

Staking, Marketing, Buybacks and Trading Platforms

The FAQs address the classification of staking receipt tokens, meaning tokens issued in connection with staking. They also discuss the significance of marketing statements when evaluating the offer or sale of crypto assets.

Another section concerns situations in which an asset’s connection to an investment contract may end, as well as announcements of token repurchases, known as buybacks. On September 28, the SEC added a condition for a functional system without a central party: in such a case, a buyback announcement does not constitute a promise of substantial managerial efforts.

The document also addresses the status of secondary trading platforms.

What This Guidance Does Not Change

Because these are answers from staff of the Division of Corporation Finance, they are not a binding rule adopted by the SEC. The FAQs themselves do not decide the legal status of a particular token or transaction.

For issuers, staking services and trading platform operators, the SEC Crypto Asset FAQs may serve as a practical aid in identifying factors relevant to an investment contract analysis. Their application, however, remains fact-specific.

In connection with the topic, a legal article published on October 5, 2026, also appeared and analyzes the already published FAQs. It has not been confirmed that the SEC adopted a new measure on that day.

What to Watch Next

  • whether the SEC adopts the proposed Regulation Crypto Assets,
  • how the SEC applies the FAQs in oversight, registrations or disputes,
  • whether the document will be updated further or the Commission will issue guidance on additional types of tokens.
