NVIDIA Reaches Definitive Agreement to Acquire Hugging Face, Closing Expected in 2027
NVIDIA has signed a definitive agreement to acquire Hugging Face. The transaction, valued at approximately USD 12.9 billion, still requires regulatory approvals.

Hugging Face’s acquisition by NVIDIA has moved to the next phase. In a Form 8-K filing, NVIDIA confirmed that it entered into a definitive agreement on September 2, 2026, to acquire the platform for AI models, datasets and applications. It expects the transaction to close in the first half of 2027, if customary conditions, including the required regulatory approvals, are satisfied or waived.
NVIDIA published the public announcement on September 3, 2026. The new filing clarifies that this is not merely a generally announced intention or preliminary agreement, but a signed definitive agreement. However, the acquisition has not yet legally closed.
Hugging Face acquisition valued at approximately USD 12.9 billion
According to the Form 8-K, the purchase price for Hugging Face shareholders is approximately USD 11.9 billion. This amount may still be adjusted for certain contractual items. The transaction structure also includes a stock-based retention program for employees worth up to approximately USD 1 billion.
NVIDIA’s original announcement stated a total amount of USD 12 930 300 000. The regulatory filing therefore also clarifies that the announced value includes both the price for shareholders and a separate program intended to retain employees.
The full contractual terms and final purchase-price adjustments have not been disclosed. It is therefore not known what the final amount will be after all contractual calculations and adjustments are completed.
NVIDIA promises support for other hardware as well
Hugging Face is a significant platform for developing and distributing open AI models, datasets and applications. For users, developers and partners, NVIDIA’s commitment to maintaining the platform’s openness in line with its existing practice is therefore important.
In the filing, NVIDIA committed to continuing to support other chip suppliers. In its original announcement, it also stated that using NVIDIA computing hardware would not be mandatory when developing or deploying through Hugging Face.
However, the companies have not disclosed specific future rules for pricing, private repositories or partner integrations. The long-term fulfillment of the stated commitment to openness and hardware neutrality can only be assessed after the deal closes and the platform subsequently operates under NVIDIA.
Regulatory approvals come first
The definitive agreement is subject to the required regulatory approvals. NVIDIA did not specify which regulatory authorities will review the transaction or the timetable for the individual proceedings. The planned closing date in the first half of 2027 therefore remains the company’s expectation, contingent on the transaction conditions being met.
Until the deal closes, regulatory filings and decisions will be particularly important to monitor. Any announcements by NVIDIA or Hugging Face about platform rules, pricing, private repositories and partner integrations will also be relevant. The final transaction price and the specific scope of the employee retention program also remain open questions.
